15.2 Severability and Enforceability

Provision Severability:
  • Invalid or unenforceable provisions do not affect validity of remaining terms
  • Court authority to modify unenforceable provisions to maximum extent allowed by law
  • Continued effect of agreement despite partial invalidity
  • Good faith interpretation and enforcement of agreement intentions

15.3 Assignment and Transfer

User Assignment Restrictions:
  • Users may not assign or transfer account rights without platform consent
  • Business acquisitions and ownership changes require notification and approval
  • Platform may assign agreement rights in connection with business transactions
  • Successor obligations binding on parties receiving assigned rights

15.4 Force Majeure and Excused Performance

Unforeseeable Circumstances:
  • Performance excused for events beyond reasonable control of parties
  • Includes natural disasters, government actions, labor disputes, and technical failures
  • Notice requirements and mitigation obligations during force majeure events
  • Termination rights if force majeure continues for extended periods
